By accessing, browsing or registering for any digital service, API, dashboard or portal operated by Yugai Solution Private Limited (“YugAI”), you acknowledge that you have read, understood and agree to be bound by these Terms and Conditions (“Terms”), as well as our Privacy Policy.

If you are entering into these Terms on behalf of an enterprise, company, partnership, Farmer Producer Organization (FPO) or Self-Help Group (SHG), you represent and warrant that you possess full legal authority to bind such entity.

YugAI provides high-performance enterprise digital infrastructure, including the YEOS Operating System, ecosystem platforms (YugAi Pay, YugAi Sakhi, YugAi Agri, YugAi Fresh), API connectivity, merchant tools, agricultural analytics and transactional intelligence frameworks.

Certain specialized services, regulated financial interactions or sector-specific modules may be subject to supplemental agreements or partner terms, which govern concurrently with these general terms.

Access to certain modules requires formal registration. You agree to provide true, accurate, current and complete information during registration and to maintain and promptly update account records.

For business clients, FPOs, financial institutions and retail distributors, YugAI operates as a platform enabler and technological intermediary. All partner workflows must comply with Indian statutory laws, applicable Reserve Bank of India (RBI) guidelines, and respective industry regulations.

You expressly agree not to engage in any prohibited conduct, including without limitation:

Certain platform features, enterprise deployments and API integrations incur subscription, transactional or maintenance fees. All applicable rates, taxes (including GST), and billing cycles will be communicated in service order schedules.

Payments processed through regulated gateways or banking aggregators are governed additionally by our Cancellation & Refund Policy.

All trademarks, service marks, platform architectures, algorithmic models, software code, graphic interfaces, logos and documentation associated with YugAI, YEOS, YugAi Pay, YugAi Agri, YugAi Sakhi and YugAi Fresh are the exclusive property of Yugai Solution Private Limited or its licensors.

No ownership rights are transferred to users. A non-exclusive, non-transferable, revocable license is granted strictly for authorized business usage during the term of agreement.

Both parties agree to treat proprietary technical, financial and commercial information as strictly confidential. YugAI maintains rigorous digital and physical safeguards to maintain data confidentiality in compliance with the Digital Personal Data Protection (DPDP) Act and related regulations.

While YugAI targets continuous high availability and enterprise-tier resilience, scheduled maintenance, system upgrades, telecommunication outages, and third-party dependencies may occasionally cause temporary service disruptions.

Service Level Commitments for enterprise customers are specified under dedicated Enterprise Service Level Agreements (SLAs).

Our ecosystem interfaces with external partners, including scheduled commercial banks, NBFCs, payment aggregators, weather data feeds and government portal endpoints. YugAI does not warrant or assume legal responsibility for the autonomous services, decisions or downtime of third-party entities.

Legal Disclaimer Notice

Except as expressly provided in written enterprise contracts, all platforms and services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, statutory or otherwise.

To the maximum extent permitted by applicable Indian law, YugAI, its directors, officers, employees, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or operational delays.

In any event, YugAI’s aggregate liability under any claim arising out of these Terms shall not exceed the amounts actually paid by the claimant to YugAI in the three (3) months preceding the incident.

You agree to defend, indemnify and hold harmless Yugai Solution Private Limited, its subsidiaries, officers, agents and personnel from and against any third-party claims, liabilities, losses, damages, penalties and expenses (including reasonable attorney fees) arising from your breach of these Terms, unlawful conduct, or violation of third-party rights.

YugAI reserves the right to suspend or terminate account access, API tokens or service provisioning immediately and without prior notice in instances of material breach, fraudulent transactions, regulatory orders, or security threats.

These Terms shall be governed by and construed in accordance with the substantive laws of the Republic of India. The courts of competent jurisdiction located at Pune, Maharashtra, India shall have exclusive jurisdiction over any disputes arising hereunder.
